随着国内外公司治理的大量探索和不断实践,董事会治理已跃然成为现代公
司治理的核心问题。董事会作为公司的决策机构,行使决策职能和对经理人员的
评价与监督职能,其治理效果如何,是关系到公司长远发展与广大股东利益的关
键所在,并对公司绩效产生重大影响。因此探寻董事会治理效果及其影响因素,
对完善公司治理结构、促进公司长远发展及实现利益相关者的利益最大化等具有
重要意义
本文的研究目的有两方面:通过对案例公司董事会治理效果的研究,一方面
可以发现其董事会运作中的成功与不足之处,并能针对其董事会治理中存在的问
题提出改善方案,以完善其公司内部治理结构,为公司长远发展及利益相关者利
益最大化提供保障;另一方面可以为董事会治理效果评价与研究提供借鉴,为其
他类似公司的董事会治理提供参考
本文采用规范研究与案例研究相结合的研究方法。通过规范研究,梳理分析
董事会治理理论的研究进展,从董事会的职能实现角度出发构建了董事会治理效
果的评价指标体系。进而以TRD股份有限公司为例,利用该评价指标体系对案例
公司董事会结构及其绩效现状进行评价与诊断,并从董事会结构、董事会的运行
机制及董事激励三大方面研究分析该公司董事会的治理状况。最后,本文从优化
股权结构、优化董事会规模与结构、强化独立董事制度及完善董事会专业委员会
制度建设等四个方面提出了改善案例企业董事治理效果的措施

ABSTRACT
With the large number of domestic and foreign exploration and practice of
corporate governance, board governance has vividly become the core of modern
corporate governance. As the decision-making body, the board of directors has the
decision-making and managers' evaluation and supervisory functions. So it is the key to
the company's long-term development and the interests of shareholders, and it will have
a significant impact on corporate performance. Therefore,how to evaluate the board
governance is of great significance to improve the corporate governance structure,
promote the long-term development of the company and achieve the maximization of
stakeholder's interests.
The purpose of this research has two aspects: through the research on the effect of
the case company's board governance, on the one hand, we can find the succeses and
shortcomings in the operation of its board of directors and promote the shortcomings,
that is useful for improving the internal corporate governance structure and protecting
the company's long-term interests and the interests of the stakeholders.On the other
hand,the research can provide relevant references for board governance evaluation and
provide a reference for other similar company.
This paper adopts the normative and case study research methods. Through
reviewing the relevant studies on board governance, it has constructed the board
governance performance evaluation index system from the perspective of the duties of
board.Taking the TRD Co’,Ltd as an example, this paper use the evaluation index
system to appraise and diagnose its board governance, and analysis the factors affecting
board governance, such as the board structure, board behavior and directors incentive.
Finally, this paper has made a study on the approaches to boost the board governence
performances, such as optimization the ownership structure, optimization of board size
and structure, improveing the system of independent directors and the professional
committees of the board of directors.

1.1.1研究背景
董事会是由股东大会选举产生,代表股东利益监督经理层,负责公司重大事
项决策和战略制定的最高决策机构。随着国内外公司治理的大量探索和不断实践,
董事会治理已跃然成为现代公司治理的核心问题。面对瞬息万变的市场竞争环境,
企业要保持良好的经营业绩和可持续发展的态势,高效率的董事会已成为不可或
缺的条件和保障。因此如何评价董事会的治理效果,对完善公司治理结构、促进
公司长远发展及实现利益相关者的利益最大化等具有重要意义
李亚萍(2010)认为董事会治理效果往往通过董事会履行职能所创造出的产
出来体现。从董事会职能实现的角度来说,董事会治理效果是指董事会对公司生
产经营管理的治理、战略决策、监督控制、对经理层的战略指导、维护股东和利
益相关者利益等各项职能发挥的作用。关于董事会治理效果的界定和测评问题,
国内外学者目前仍处于探索之中,希望通过本文可以构建出一套可行的董事会治
理效果的测评指标体系,并实际应用到案例企业的实证研究中,能够为其完善董
事会治理机制提供理论方法

的指标体系对于指导公司治理实践具有重要的意义
本文关于案例公司董事会治理效果的研究主要有以下意义:
(1)通过对案例公司董事会治理效果的研究,构建出董事会治理效果的评价
指标体系,对于公司内部治理来说,可以依据该评价体系对董事会运行状况进行
自我诊断和评价,公司股东、董事会成员及经理层可以发现公司治理和董事会运
作过程中存在的问题,进而及时采取有限措施,提升公司董事会绩效,吸引广大
