近些年来我国的房地产行业发展迅猛,现己成为我国经济发展的重要支柱。从房地
产行业的自身特征来看,房地产的市场发展瞬息变化且政策调控较为频繁,同时项目开
放周期较长且资金涉及较为密集。对于房地产企业来说需要应对环境以及市场及时调整
开发项目,以此避免遭受不确定的风险。另外,大多数购房者对于购房缺乏准确判断,
从众心态趋于严重化。面对如此的市场环境下,法律风险管理便成为房地产公司治理企
业的一项重要工作。
HB房地产公司是一家从事房地产销售与开发业务的房产公司,随着房地产项目的
业务发展,逐渐开始显露出许多法律风险方面的隐患,为了可以有效降低公司面临的法
律风险,合理规避开发房产项目中可能发生的法律纠纷事件,房地产企业需要提高自身
的法律风险管理水平,并相应的制定行之有效的法律风险管理应对措施,来确保企业房
产业务的顺利实施。
本文通过对 HB房地产公司法律风险防控现状及在法律风险识别与防控存在的问题
方面进行分析研究,发现 HB房地产公司存在的法律风险识别与防控方面的问题可以归
纳为:分别是无法识别施工设计管理中的法律漏洞、劳动用工管控不当引发巨额赔付以
及房产包销过程法律参与缺失,同时针对 HB房地产公司法律风险防控问题的成因进行
深入分析,以此来提出 HB房地产公司法律风险管理的对策建议,主要包括加强法律风
险防控意识、完善施工设计变更制度管理、加强劳动用工管控以及规范商品房包销监管。
同时为了确保 HB房地产公司法律风险识别及防控对策可以顺利执行而制定相应的保障
措施,以此帮助 HB房地产公司提升法律风险管理的水平。

Abstract
The real estate industry has developed rapidly in recent years, it has become an
important pillar industry of the national economy. From the characteristics of the real estate
industry, real estate projects are capital intensive, long development cycle, frequent policy
adjustments and rapidly changing market environment, real estate companies need to make
rapid adjustments among projects, funds, markets and policies, to avoid the risk of uncertainty.
On the other hand, most of the citizens lack accurate judgment on the purchase of real estate,
and the herd mentality is serious. In the face of a changing market, the legal risk control of
real estate companies has become an important work of corporate governance.
HB real estate company is a real estate company engaged in real estate sales and
development business, with the development of real estate projects, many legal risks are
gradually exposed, in order to effectively reduce the company's legal risks and reasonably
avoid the occurrence of legal disputes in the process of real estate business development, real
estate enterprises need to improve their level of legal risk management, and formulate
effective legal risk management countermeasures, to ensure that the company's business can
be carried out smoothly.
This thesis analyzes the current situation of legal risk management of HB real estate
company and the existing legal risk problems, it is found that the legal risk management
problems existing in HB real estate company can be summarized as follows: The construction
design management laws are full of loopholes, improper labor and employment management
leads to huge compensation and the lack of legal participation in the real estate underwriting
process. And to the HB real estate company legal risk causes of analysis, in order to HB real
estate company's legal risk management put forward countermeasures and suggestions, it
mainly includes strengthen awareness of legal risk prevention and control, perfect
construction design change system management, strengthen labor and employment control
and standardize the supervision of commercial housing underwriting. At the same time, in
order to ensure the smooth implementation of legal risk management countermeasures of HB
Real Estate Company, corresponding safeguard measures are formulated, in order to help HB
real estate company to improve the level of legal risk management.
