本文是为广东鑫泰科技集团有限公司“高端数控机床项目”投资及融资而准备的商 业计划书,从公司的组织架构、该项目市场环境及营销策划、财务预算与投资回报率等 多方面,对该项目进行详细分析和计划,有利于投融资者及详细了解该项目,降低投资 风险,也有利于项目的各项工作顺利展开。 数控机床是由普通机床发展而来,在普通机床的基础上进行结构变化,加装数控系 统及其他零部件后成为数控机床。它是制造业的加工母机和国民经济的重要基础。它为 国民经济各个部门提供装备和手段,其最大优点是提高了机床的自动化,由数控系统按 设定的程序自动加工,从而减少甚至消除了操作人员对正在加工中的零件的干扰,减少 人为错误以及每个加工件具有相同的精确性。 目前,欧、美、日等工业化国家已先后完成了数控机床产业化进程,而中国从 20 世纪 80 年代开始起步,仍处于发展阶段。高档数控机床主要依靠进口,国内本土数控 机床企业大多处于“粗放型”阶段,在产品设计水平、质量、精度、性能等方面与国外先 进水平相比落后了 5-10 年;在高、精、尖技术方面的差距则达到了 10-15 年。 从 2003 年开始,中国就成了全球最大的机床消费国,也是世界上最大的数控机床 进口国,2005-2010 年间数控机床产销量年均复合增长率(CAGR)为 30.2%,高端数控 机床需求量巨大。 数控机床近几年来出现了以下发展趋势,高速化、高精度化,功能复合化、控 制智能化、高可靠性、多轴化,向高端发展比较明显。 广东省是我国的经济大省和经济强省,也是制造业大省,制造业规模在全国领先。 因此在广东开展高端数控机床研发与制造,具有广阔的前景。 新鑫公司是鑫泰集团的全资子公司。项目计划融资 1.18 亿元,母公司鑫泰集团自筹 资金 6,500 万元,由母公司担保向银行贷款 5,300 万元,项目投产后的资金需求通过盈 利投入。 根据资本资产定价模型(CAPM),确定本项目的贴现率为 15.2%,保守估计项 目寿命期 10 年,要求的动态回收期小于 10 年,在此基础上计算出本项目的动态回 收期为 5.1 年,净现值为 4313 万元,内部收益率 22.9%,修正后的内部收益率为 19.7 %,风险资金可选择股份转让退出方式,本项目的风险较大,但是可以通过有效途 I径进行防范。 本文采用了商业计划书形式,根据新设立的企业特点及高端数控机床制造行业发展 状况和行业前景,综合运用战略管理、营销管理、财务管理等方面的理论,对该公司的 投资可行性进行分析。 本文认为,一个好项目,如果能吸引到足够的投资资金,有助于实现项目企业与投 资者双赢。 关键词,数控机床;数控机床投资分析;商业计划 IIABSTRACT This text is commercial plan for investment and found raising in high-end NC machining tools project of Guangdong GoldSun Tech Group Co., Ltd. This article has anlaysis and plan of this project in details in many ways for organization structure of the company, market environment and marketing planning of this project, financial budget and rate of return on investment and so on. Thus, it is easy for investor to make a detailed understanding of this project to reduce investment risk. In the meantime, it is benefit for smooth expansion in each work of this project. NC machining tools develops from general machine tools. On the basis of general machine tools, it makes improvements on structural changes to install CNC control system and some other parts to turn into NC machining tools. It is the manufacturing process of national economy p important basis. It is the national economy each department provide equipment and means. Whose biggest advantage is to improve machine automation. According to the setting program of CNC control system, it could realize automatic processing. Thus, it could reduce work piece disturbances, coming from the operator during machining. In the meantime, it could improve machining accuracy for every workpiece by eliminating man-made mistakes. At the moment, the industrialized countries in Europe, the United States and Japan completed industrialization process of NC machining tools successively. However, the development of NC machining tools just starts from Nineteen eighties in China. Now digital manufacturing industry is also in a developing stage. High-end NC machining tools main depended on imports, most of domestic native enterprises of NC machining tools is in the extensive stage. Comparing with the foreign advanced level, domestic NC machining tools fall behinds at least 5-10 years in the following aspects: the level of product design, quality, accuracy, function and so on. In the mealtime, the gap can reach 10-15 years in the sophisticated technology. Starting from 2003, China becomes the world largest machine tool consumption country. In the meantime, China is also the world largest importing country of NC machining tools. From 2005 to 2010, the CAGR of NC machining tools is 30.2%. The high-end NC machining tools is in great demand. In recent years, NC machining tools appears the following trend of development: high speed, high accuracy, complex function, intelligent control, high reliability and multi axie. It IIIis more obvious to develop to the high-end. Guangdong province is not only economic big province and economic strong province in China, but also big manufacturing province, whose manufacturing scale is in the lead in China. Therefore, it has broad prospects to promote research, development and manufacturing in Gaungdong. Xin Xin company is wholly owned subsidiary of Guangdong GoldSun Tech Group. This project plans to finance 11-ten million 8 hundred million. One the one hand, the mother company raises funds 6 ten million 5 hundred million by herself. On the other hand, Xin Xin company would loan 5 ten million 3 hundred million from the Bank guaranteed by the month company. After the project goes into operation, fund demand is solved by profit investment. According to the CAPM model, bank rate of this project is set 15.2%. The estimated life period of this project is 10 years and requires the dynamic recovery period is not less than 10 years. On the basis of the above data, it is counted that the dynamic recovery period is 5.1-year, net present value: 4 ten million 3 hundred and eleven million, internal rate of return: 22.9% and revised internal rate of return 19.7%. Risk capital could choose stock right transfer and exit. This project has high risk. However, it could be on guard by effective ways. Based on the development status and the prospect of the industry of the newly established enterprises characteristics and manufacturing industry of high end NC machining tools, this text uses business plan form to analysis the investment feasibility of the company by comprehensive use of the theory of strategic management, marketing management, financial management and so on. This article believes a good project could realize win-win both for the enterprise and investor if it could attract enough capital fund.
