本文主要从以下五方面进行研究：第一，对本文的研究背景、研究意义、研究方
法、研究内容和创新之处进行阐述；第二，阐述了合同管理、风险管理和合同风险管
理的定义，并对国内外专家学者在合同风险管理理论方面的研究成果进行了总结概述，
为本文接下来的研究提供了指引；第三，对 A 公司的合同风险管理现状进行诊断，指
出其不足之处，并通过对公司的调研和专家的访谈等方式识别出公司所存在的五大合
同风险要素，以及采用问卷调查的方式来对各项风险要素的重要程度进行打分，为下
一步合同风险管理体系的设计和构建打好基础；第四，针对上一部分研究所得出最亟
待改善的合同风险要素，围绕此要素来设计合同管理体系，以便对其进行有效控制，
同时，将顾客满意的概念引入到合同效果评价中；最后，针对 A 公司在合同管理上所
存在的薄弱之处，从健全合同风险管理机制、完善合同条款内容、健全合同风险管理
有关制度和提高员工合同风险意识等方面提出改进建议

ABSTRACT
With the establishment and improvement of China&39;s socialist market economy and the
acceleration of the process of global economic integration, the reform and development of
Chinese enterprises have made great achievements. However, China enterprises in
international operation has exposed its legal weakness, which not only caused the attention
of the government, but also to stimulate the enthusiasm of the theoretical circles, especially
for contract management as one of the legal risk prevention and management. Under the
condition of market economy, standardize the management of the contract and scientific
degree can reflect fundamentally if the firm is in a controllable state, it is used to measure the
management level of the enterprise, to some extent, it also reflects a barometer of the level of
enterprise management, has a direct impact on the success of business. On the basis of
summarizing the theory of risk management and contract management, the author puts
forward the focal point of this study, the contract risk management, and takes A company as
a case study.
This paper is divided into six parts: the first part mainly introduces the background, research
and technical route and research contents; the second part, from the definition of contract
management, risk management, risk management, the definition of the origin of the risk
management process as well as the domestic and foreign experts and scholars on the contract
risk management theory research are outlined; the third part, the contract risk management
mainly analyzes the current situation of A company, find out the existing problems as the
basis for the follow-up of the risk identification and assessment; the fourth part, mainly for
identification and risk assessment of the contract risk management of A company, and
through the questionnaire, evaluate the status of the importance of factors and A company A
company, find out the key points in the contract risk management and the weak point, for the
construction of risk management system and puts forward the foundation the strategy; The
five part is the main part of the contract, the construction of risk management system of A
company, mainly puts forward the design idea of the contract management system, design
the risk management system, and the specific management methods on the control of
