摘要
随着我国经济的不断发展和与国际市场的进一步接轨，大幅推动了我国企业
在管理方式、方法、制度建设等方面的发展速度。激增的项目合作数量每年为企
业带来大笔利润，但在同时，贯穿这些项目的合同问题却层出不穷，全国法院 2014
年以来每年审理的各类合同纠纷案件达到五百万件以上，这些合同违约和纠纷严
重的妨碍了企业项目合作的顺利进行，影响企业的经济效益。因此，不断完善合
同管理制度、提升合同管理方法和手段、培养合同管理专业人才已经迫在眉睫

本文将合同风险管理理论与 Y 公司合同管理实际相结合，采用文献研究法、
理论研究法、案例分析法，借鉴国内外先进的经验，通过对 Y 公司项目的合同内
容、合同管理结构、风险控制流程的介绍分析，以 S 项目为例进行分析，指出企
业项目合同中存在问题并剖析其内在原因，认清企业现状，找到问题，总结借鉴
国内外其他企业的经验教训，提出相应对策，为我国合同风险管理理论及实践的
研究提供一定参考

Abstract
With the continuous development of China&39;s economy and the further integration
with the international market, China&39;s enterprises in the management methods, methods,
