摘要

在国家三网融合及各省广电行业重组整合的背景下,云南省广电网络通过对

现有广电网络的重组与整合,成功组建了云南广电网络集团有限公司作为市场主

体和运营主体,充分发挥集团化运作的规模优势,增强集团的整体竞争力。然而,

云南广电整合重组主要采用存量整合的方式,在第一步整合完成以后,如何进一

步规范市场运营主体、完善法人治理结构、充分发挥整合的效率、提高企业经营

效益、做大做强云南广电网络,需要进一步深化改革,提升整合重组的质量,使

其更加符合市场化的要求,并且更具有操作性。

本文认为企业整合不仅仅是各个主体原有资产的整合,而且涉及到业务、制

度、人员、文化等方方面面的融合,整合策略决定了整合后企业的发展方向,不

同的整合策略将对整合的效果产生重大影响。只有找到一条符合云南省实际情况

的整合路径,才能有效的发挥整合的效率和效益。论文主要从湖南广电网络整合

的经验分析入手,通过分析湖南广电网络与云南广电网络存在的差异,从云南广

电网络集团的实际情况出发,对云南广电网络整合特点、整合的对策和主要措施、

“三网融合”下业务和业态的整合,资产资本化、资本证券化等方面提出一个符

合云南广电网络自身特点的整合策略、方法和路径。

ABSTRACT

In the context of the national integration of three networks and the regroup of

broadcasting &TV industry in each province, broadcasting & TV industry in

YUNNAN regroup currently existing broadcasting television networks,and

successfully set up YUNNAN Broadcasting &TV Group Company as a main market

player and subject of operation, which bringing full play to collectivize operation and

enhancing the whole competitiveness. The main method of integration in YUNNAN

Broadcasting &TV Group Company is to integrate the existing network. After the first

step of integration, questions are following. How to regular the main market operator.

How to improve the legal corporate government,give full play to the efficient of

integration, and enhance the operational efficiency of the group.How to lead the

YUNNAN Broadcasting &TV Group Company growing strong and big.How to

deepen the reform,promote the quality of integration, make it in accordance with the

market requirements and make it more operability.

This paper argues that the enterprise integration is not only the original assets of

the existing market subject, but also involving many respects such as

business ,system,staff ,culture .The integration strategy determines the development

direction of company. Different integration strategy will make a significant impact on

the result of integration. Only if found a right path which is according to the reality of

YUNNAN,the integration will take advantage of efficiency and benefit. This paper is

research on the experience of HUNAN Broadcasting Networks .By analysis of the

difference between HUNAN Broadcasting Networks and YUNNAN Broadcasting

Networks,and the present situation of YUNNAN Broadcasting &TV Group

Company,the paper describes the integration characteristic of YUNNAN Broadcasting

Networks, integration strategy, integration measure . The paper also describes asset

capitalization,capital securitization and the integration of business and format under

the background of three networks merger, aiming at propose an integration strategy,

path, and method,which is in accordance with YUNNAN Broadcasting Networks.
