摘要
中小企业日益成为我国现代经济的奠基石和名副其实的技术创新生力军。在激烈
的市场竞争中，中小企业想要发展起来并维系其独特的竞争优势，必须保护好自己的
创新成果。而保护企业的创新成果离不开知识产权的支持，对于一些不能、不宜或者
尚未决定是否通过著作权、专利权等知识产权形式保护的技术信息、经营信息，大多
数企业会选择将其作为商业秘密加以保护

本文首先介绍了中小企业的界定、商业秘密内涵、泄密途径和商业秘密管理的主
要内容。其次，结合中小企业创新特点及其商业秘密管理现状，分析了中小企业商业
秘密管理当前比较突出的问题，比如对商业秘密认识不清、保护意识比较薄弱、企业
普遍缺乏系统、有效的商业秘密管理制度、对涉密人员缺乏有效的约束、缺乏合理的
保密措施、缺乏商业秘密纠纷处理机制等，从中得出结论——完善商业秘密管理体系
并保障其有效运行，才是中小企业有效保护自己商业秘密的根本出路。然后在己有研
究基础之上，探索构建中小企业商业秘密管理体系，提出了构建商业秘密管理体系的
原则，增强意识、保护权利、实现价值、防范风险的管理目标，适合不同类型中小企
业的商业秘密管理模式，并阐述了相关管理制度的主要内容。最后，提出了培育企业
知识产权文化，依法制定和执行商业秘密管理制度、建立商业秘密管理流程及制定商
业秘密纠纷的应急预案等有效保障中小企业商业秘密管理体系运行的建议

Abstract
Small and medium-sized enterprise becomes the cornerstone of our modern economy
and the real force of technological innovation. In the fierce market competition, small and
medium-sized enterprises want to develop and maintain its unique competitive advantage,
must protect their innovation as well. Inseparable from the support of intellectual property
rights and protecting innovation achievements, for some cannot and should not be, or has
not yet decided whether to through the form of copyright, patents and other intellectual
property rights protection of technical information, business information, most companies
will choose as a trade secret protection.
This paper first introduces the definition of small and medium-sized enterprises,
commercial secrets connotation, leaks way and the main content of the commercial secret
management. Secondly, combining with the characteristics of small and medium-sized
enterprise innovation and business secret management present situation, analyzes the small
and medium-sized enterprise business secret management to solve the problems of the
current, such as unclear understanding of the commercial secret, protection consciousness
is weak, enterprise business secrets of the general lack of system, effective management
system, lack of effective constraint for classified personnel, lack of reasonable security
measures, lack of business secret dispute processing mechanism, etc., draw conclusions,
perfect the commercial secret management system and to ensure its effective operation, is
the fundamental way out for small and medium-sized enterprises effectively protect their
business secret. Then on the basis of your own research, explore the construction of small
and medium-sized enterprise business secret management system, and put forward the
principle of setting up its management system of business secret, enhance the
consciousness, protect the rights and realize the value, the risk management objectives,
suitable for business secrets of the different types of small and medium-sized enterprise
management mode, and expounds the main content of the relevant management system.
Finally, put forward the cultivation enterprise intellectual property culture, develop and
implement business secret in accordance with the management system, set up trade secret
management process and make contingency plans and other commercial secrets dispute the
effective protection of small and medium-sized enterprise business secret management
system.
