摘要
随着经济社会的发展,人们对美好生活有了更高层次的追求,更加注重环境
保护,追求人与自然的和谐发展。企业作为市场主体,其产品和服务与百姓的生
活息息相关,企业通过为社会提供产品和服务实现经济责任的同时,要积极承担
作为良好企业公民的保护环境、维护职工和消费者权益、参与扶贫和公益慈善等
社会责任。但现实情况是国有企业践行社会责任相对较好,而占市场主体多数的
民营企业则表现较差,社会责任缺失行为时有发生,对人民群众的生命财产安全
乃至经济社会的发展造成不利影响。
就如何推动民营企业履行社会责任,既包括外部因素,也包括内部因素,股
权结构作为公司治理的重要方面,属于重要的内部因素。国有股东持有的股权由
国有企业或政府部门出资,代表了国家或整个社会的利益。国有股东的政治关联
能够帮助企业在政府主导的资源分配中获取优势,为企业的生存和可持续发展提
供支持。同时,国有股东的政治属性以及经济和社会效益并重的价值观也推动企
业积极遵守法律法规和政府规章,在组织管理和内部控制体系的建设方面较为规
范。那么存在国有股东的民营企业是否会受此影响并进一步影响承担社会责任的
意愿和积极性呢?本文将对此展开研究。
针对董事这一股东利益代表在企业经营过程中的作用,以及股东分别来自中
央企业和地方国有企业的现实背景,本文考虑了是否提名董事及国有股东隶属层
级对国有股东与民营企业社会责任绩效关系的影响。进一步地,本文基于资源效
应和治理效应,选择融资约束和内部控制制度作为中介变量,探究国有股东对民
营企业社会责任绩效的影响机制。
本文在查阅相应文献的基础上,依据资源依赖理论、制度同构理论和利益相
关者理论等提出了本文的研究假设,以存在国有股东的 A股民营上市公司为样本,
通过实证检验分析得出,国有股东有助于提高民营企业的社会责任绩效,并且随
着国有股东持股比例的提高,这种积极影响更为明显。进一步地,相较于不提名
董事,提名董事对民营企业社会责任绩效的影响更明显;相较于来自地方国有企
业的股东,来自中央企业的股东对民营企业社会责任绩效有更积极的影响。最后,
中介机制的分析表明,国有股东既可以通过缓解民营企业的融资约束为企业履行
社会责任提供资金支持,也可以通过完善民营企业的内部控制制度为企业履行社
会责任提供制度保障。

摘要
本文的创新之处在于:第一,相较于民营资本入股国有企业,本文从国有股
东入股民营企业的视角探究国有股东对民营企业社会责任绩效的影响,并进一步
分析融资约束和公司治理所发挥的中介作用。第二,针对是否提名董事以及国有
股东来自中央企业和地方国有企业的现实背景,本文研究了是否提名董事及股东
隶属层级对国有股东与民营企业社会责任绩效关系的影响。

Abstract
With the development of economy and society, people have a higher level of
pursuit for a better life, paying more attention to environmental protection and the
harmonious development of man and nature. As the market entity, the company's
products and services are closely related to the lives of the people. While providing
products and services to society and fulfilling economic responsibilities, enterprises
must actively assume their social responsibilities as good corporate citizens, and
perform social responsibilities such as protecting the environment, safeguarding the
rights and interests of employees and consumers, alleviating poverty, and philanthropy.
However, the reality is that state-owned enterprises perform well in fulfilling their
social responsibilities, while private enterprises, which account for the majority of
market entities, perform poorly. The lack of social responsibility occurs from time to
time, which has an adverse impact on the safety of the people’s lives and property and
the development of the economy and society.
As far as the promotion of private enterprises to fulfill their social responsibilities
includes both external factors and internal factors, the ownership structure is an
important aspect of corporate governance and is an internal factor. Equity held by
state-ownedshareholders isfundedbystate-ownedenterprises orgovernment
departments, representing the interests of the country or the society. Therefore, the
political connection of state-owned shareholders can help enterprises gain advantages
in government-led resource allocation and provide resource support for the survival
anddevelopment ofenterprises. Atthesame time,thepolitical attributesof
state-owned enterprises and the values of equal emphasis on economic and social
benefitsalsopromote enterprisestoactivelyabidebylaws,regulations and
governmentregulations,andaremorestandardizedintheconstructionof
organizational management and internal control systems. So will private enterprises
with state-owned enterprises be affected by this and thus have an impact on their
willingness and enthusiasm to assume social responsibility? This article will study this
question.
