2020年 1月，习近平总书记赴缅甸进行国事访问，就我国与缅甸在构建命
运共同体、开启两国关系新纪元的层面达成了共识，为我国在今后的发展中进一
步扩大对缅甸贸易和投资，同时加强两国的地方合作与发展奠定了基础。 2011
年，缅甸民主化改革以前，中国企业在缅甸的投资稳居各国在缅甸投资第一顺位，
由于缅甸民主改革不断演变，中缅之间的经济合作屡屡受阻，随之暴露出在缅甸
中资企业存在几个突出问题：一是风险识别能力不足，二是对缅甸境内的国际破
坏势力应对欠佳，三是对抗风险保障措施不到位，四是对缅甸国内矛盾的权衡与
处理欠妥。云南省作为我国与缅甸接壤处边境线最长的一个省份，其优越的地理
位置为云南省与缅甸的合作发展打开了一道大门，A公司作为云南省的骨干企业，
有责任履行好实施“一带一路”倡议的重大责任。目前 A公司在缅甸已有多年
的业务开展经验，已建成、在建、拟建多个能源类项目，尤其在水电站建设项目
中具有丰富的建设经验，但受到缅甸当地的自然资源、气候、法律、时政等多方
面的因素影响，A公司在缅甸投资的 N水电站项目面临着不可预估的投资风险。
基于此，如何进一步应对在缅甸投资的风险，成为了 A公司当前亟待解决的难
题。
本文结合已有的学术研究文献，梳理了国内外学者涉及境外投资风险和境外
水电站投资风险以及风险应对方案等多个层面和领域的学术研究，通过研究得知，
目前国内针对缅甸水电站投资风险问题进行全面、深入研究的比较少，而且研究
方向也偏向宏观体系分析，缺乏细致化。接着本文基于对外投资理论和海外投资
风险管理理论等理论基础，采用文献分析法对 A公司缅甸 N水电站项目投资风
险因素进行初步识别，通过邀请公司高层管理人员进行头脑风暴确定该项目最终
的风险因素清单，再通过分析各风险因素确定项目投资风险因素，主要由政治风
险、行业风险、金融风险、社会经济风险、管理风险、自然风险六大要素组成。
然后本文利用层次分析法构建了风险因素评价指标体系，并通过专家打分法结合
1-9标度法评价标准，选取境外投资和水电站投资领域的 10位专家，向其发放问
卷，让专家根据发生各风险因素的相对重要程度进行评分，从而组建出两两判断

矩阵，以此对各个因素的权重程度进行计算，从而获得缅甸 N水电站项目投资
风险评价体系的层次总权重。基于此，针对已构建的评价指标体系，再利用模糊
综合评价法进行综合评价，发现缅甸 N水电站项目投资风险较大，其中管理风
险、行业风险、自然风险、金融风险、社会经济风险、政治风险准则层指标的权
重分别为：0.3946、0.2267、0.1858、0.0768、0.0707、0.0456，可见管理风险的
权重占比最大，且管理风险中的信息管理的风险最高。针对风险因素与评价结果
的分析，本文最终从缅甸 N水电站项目投资风险最高的三个风险因素：管理风
险、行业风险、自然风险视角提出了具体的风险应对策略，即通过提高信息管理
水平、完善合同管理程序来应对管理风险；通过加强当地劳工与中方外派人员的
调配管理、组建技术团队降低技术差异来应对行业风险；通过实施全过程环境管
理、回避与转移风险、构建项目风险应急监管政策来应对自然风险。
本文的研究可以为 A公司提供在缅甸投资水电站的投资风险管理的理论指
导，也可以为我国其他在境外开展投资活动的企业提供借鉴。然而，全球化经济
发展的大态势下，许多企业在进行海外投资时都会由于各种复杂的国际情况产生
投资风险，并且面临着风险问题逐渐多样化、复杂化的趋势。对此，实施科学的
风险管理，企业可以避免或减少许多风险，从而减少不必要的损失。但由于风险
具有动态性，我国企业在海外进行投资活动时，要时刻关注投资国可能的风险和
各国政治、经济、产业信息的变化，积极应对并制定相应的风险应对策略。

reached a consensus on building a community of shared future between my country
and Myanmar and opening a new era of bilateral relations, so as to further expand
trade and investment in Myanmar in the future development of my country. At the
same time, it has laid a foundation for strengthening the local cooperation and
development of the two countries. In 2011, before Myanmar's democratization reform,
the investment of Chinese enterprises in Myanmar was ranked first in the investment
of countries in Myanmar. The economic cooperation between China and Myanmar
has been repeatedly blocked, which has revealed several prominent problems in
Chinese-funded enterprises in Myanmar: first, the ability to identify risks is
insufficient; The third is the lack of adequate protection measures against risks, and
the fourth is the inappropriate balance and handling of domestic conflicts in Myanmar.
As a province with the longest border line between China and Myanmar, Yunnan
Province has an advantageous geographical location between Yunnan Province and
Myanmar. The cooperation and development of Myanmar has opened a door, and
Company A, as a backbone enterprise in Yunnan Province, has the responsibility to
fulfill the major responsibility of implementing the "Belt and Road" initiative. At
present, Company A has many years of business development experience in Myanmar,
and has completed and is under construction. , a number of energy projects are
proposed to be built, especially in the construction of hydropower stations, which has
rich construction experience, but affected by many factors such as local natural
resources, climate, laws, and current affairs in Myanmar, the N hydropower project
invested by Company A in Myanmar Investment faces unpredictable investment risks.
Based on this, how to further deal with the risks of investing in Myanmar has become
an urgent problem for Company A to solve.
Combining the existing academic research literature , this paper sorts out the
academic research of domestic and foreign scholars on overseas investment risks,
overseas hydropower station investment risks and risk response plans at multiple
