摘要:在激烈的市场竞争中,公司治理对经营绩效的影响举足轻重,
然而,在我国企业中,公司治理结构的紊乱,管理的不合理等方面的
问题显得非常突出,严重制约了我国企业多元化发展,亟待需要解决。
因此,本研宄通过对上海化工供销有限公司进行经营绩效的实证分
析,探讨企业的治理问题,提出提升经营绩效的相关对策建议,这对
于促进上海化工的发展,加快发展速度和结构化迸程有重要借鉴意
义。
总体来讲,本研宄以现代公司治理理论、经营绩效理论和方法为
指导,Xtb海化工的治理现状和经营现状进行分析,发现公司目前在
公司治理方面存在公司治理结构不规范、内部人控制现象严重、董事
会运作效率低下及激励机制不够完善等问题。结合公司实际构建基于
公司治理的经营绩效研究框架,然后通过层次分析法设定指标权重,
再使用■综合分析法对其绩效综合分析,真实地反映公司经营绩效
状况,根据分析结果提出从监督机制、约束控制机制和激励机制三方
面进行经营绩效提升。希望以此对我国企业探索公司治理模式提供一
定的借鉴和参考价值。

Operating Performance Improvement Strategy Research of
Shanghai Chemical Industry Supply and Sales co. LTD
ABSTRACT: During fiercely market competition, such as disorder
corporate governance structure, management is not reasonable etc is very
outstanding, urgently needs to solve, it seriously restricted our country to
carry out enterprise diversified development of strategic economic policy.
Therefore, through the form of case of corporate governance problems in
the empirical analysis, this paper discusses the problems, to promote the
development of enterprises, accelerate the enterprise development speed
and structured process has important reference meaning.
In a word, this thesis with modern corporate governance theory and
method as the instruction, shanghai chemical industry co. LTD as the
research object, the problems of shanghai chemical industry to carry on
the analysis. The analysis result display that the company exist corporate
governance structure does not standardized, internal control is serious,
low operational efficiency and the board is not perfect incentive. During
evaluation, firstly set index weight by AHP, then evaluated by Fuzzy
Model to authentically feedback the organization performance, supply
monitoring mechanism, constraints, control mechanisms and incentives to
improve business performance. We hope through establish corporate
governance study explore to have certain innovation significance and
reference value for corporate.
