摘要
2008年9月从美国爆发的经济危机,着实让世人震惊,美国第四大的投行——雷
曼兄弟申请破产保护,这家投行解聘了那些曾经与它并肩作战的一个个投行精英人
才,华尔街也毅然决然地“解聘” 了这个曾经为美国或者说全世界经济带来巨额财富
的金融业巨头,次贷危机的多米诺骨牌效应就此触发。这场危机蔓延至今,从美国到
全球,从发达国家蔓延到发展中国家,从金融界蔓延到整个世界的实体经济,这是一
场没有硝烟的战争,它给我们带来的已经远不止是利益的损失与人才的流失,还有更
多的是我们对现状的焦虑和对未来的担忧。
集团化企业一般都具有强大的资金实力和多元化发展的产业链条,这些都能够对
实体经济的发展做出极其重要的贡献,但是,也正因为这些因素,使得企业集团在极
差的经济形势下所面临的各种各样的风险与问题也越来越复杂和危急。目前,越来越
多的企业集团经营者己经认识到,企业运营与管理中所遇到的大多问题都可以从法律
上寻求根源。杰克韦尔奇曾说过:“法律风险是一种商业风险,商业管理人员有责
任像管理企业商业经营其他风险一样管理法律风险”。法律风险作为诸多风险的连节
点与重要枢纽,要求我们对它的认识与研究必须不断提升。因此,如何更好地应对法
律风险并构建一套完善合理的法律风险管控方法就已经成为企业集团当甜最为迫切
的命题。
本文笔者从企业集团的概念入手,系统分析了企业集团管理中法律问题的特点,
归纳了在企业集团管理中处理法律问题的难点和重点,并以母子公司法律风险管控为
轴心,从风险监控、人力资源管理、合同管理、法律知识宣传及培训等几个方面总结
提出了完善企业集团法律风险管控机制的一些建议,并对A集团法律风险管控机制进
行分析研究,同时提出了相应改进意见,以期对我国企业集团等大中型企业的法律风
险管控机制的完善略尽绵力。

Abstract
On September 15,2008,shocked the world in the eyes of the United States of America,
the fourth largest investment bank Lehman Brothers filed for bankruptcy protection,
Lehman fired the fight side by side with one of its investment banking elite, while Wall
Street resolutely “ fired ” this has brought huge wealth financial giant American and even
the global econojny be triggered at any moment, Domino effect of the financial crisis. After
three years, the financial crisis to the world economy impact is still spreading. From the
United States to the world,from developed countries to developing countries, to the real
economy from the financial sector, this war without smoke of gunpowder to us has been far
more than is the loss of human resource of profit and loss, more of a state of anxiety and
fear of the future.
Enterprise group has strong capital strength and diversified development because of its
industrial chain and the entity economy development has made important contributions, but
various risks facing the grim economic situation becomes more and more complex and
critical. At present, more and more operators have realized, the various problems
encountered in business operation can find their roots in the law. Jack Welch once said:
risk is a kind of business risk, business management personnel, Legal risk as a connection
point and the center of many risks, understanding and Study on it must further enhance.
In this paper, the author from the concept of group enterprise obtains, malyzed the
characteristics of legal risk of group enterprise, summarizes the emphasis and difficulty in
legal risk management of the enterprise group, the parent company and legal risk control as
the axis,from several risk control, human resources management, contract management,
legal knowledge propaganda and training, and puts forward some proposals to improve the
group enterprise legal risk management mechanism, and makes analysis and Research on
the A group legal risk management mechanism, and put forward the corresponding
improvement suggestions, in order to improve oil our enterprise group and other large and
medium-sized enterprise legal risk management mechanism to do a little cotton force.
