With the steady progress of the Party Central Committee's reform strategy of comprehensively and strictly governing the party, the requirements of integrating the party's leadership into corporate governance are put forward. The State Council, local governments and the banking and insurance regulatory bureau have also issued relevant regulatory documents, which require the strengthening of the party's leadership in corporate governance. Based on the current trend of economic development and the governance of rural cooperative banks, the implementation of "one committee, three committees and one layer" corporate governance in rural cooperative banks not only meets the requirements of the State governing the party, but also is the inevitable choice for rural cooperative banks to strengthen party building and improve corporate governance. The research methods used in this paper are literature analysis, comparative analysis and case analysis. It summarizes the theoretical development of corporate governance abroad and in China, and analyzes the three main theories of corporate governance, the connotation, system, objectives, principles and means of corporate governance. Through the comparison of three representative corporate governance models, this paper summarizes the advantages and disadvantages of corporate governance models in different countries, and analyzes and evaluates the current situation of domestic corporate governance. On this basis, this paper takes the case of GD rural cooperative bank as the research object, explores its characteristics and main problems in corporate governance as the rural cooperative bank, and puts forward the idea of "one committee, three committees and one layer" corporate governance in GD rural cooperative bank. ABSTRACT VI For the case study of GD rural cooperative bank implementing "one committee, three committees and one layer" corporate governance, this paper analyzes the existing "three committees and one layer" corporate governance structure of GD rural cooperative bank, clarifies the relationship between the Party committee and "three committees and one layer" governance subjects, and defines the main responsibilities of different governance subjects in corporate governance. In the aspect of analyzing how to integrate the party's leadership into the corporate governance, this paper puts forward some measures to write the party building work into the articles of association of GD rural cooperative bank and revise the relevant rules and regulations of corporate governance of GD rural cooperative bank, and constructs the role and status of the party Committee in the corporate governance. In order to ensure the Party committee to perform its duties according to the regulations, this paper studies the supervision and restraint mechanism of the Party committee. At the same time, from the introduction of shareholders, the setting of directors, information disclosure, performance appraisal four aspects, put forward suggestions to improve the corporate governance of GD rural cooperative bank. Taking GD rural cooperative bank as a case, this paper studies the corporate governance of "one committee, three committees and one layer", aiming to improve the corporate governance ability and level of rural cooperative bank, promote the rural cooperative bank to achieve better performance in operation and management, make more contributions to the implementation of the national Rural Revitalization Strategy, support the development of real economy and local economy, and also contribute to the development of rural small and medium-sized enterprises Financial institutions should strengthen the leadership of the party, improve corporate governance, and build modern financial enterprises.
