本文以本人提出创办以重组业务为核心的现代服务企业—百泰重组基金管理公司 为出发点，设计商业计划书，运用在闽江学院新华都商学院所学战略管理、人力资源管 理、财务管理等一系列学科的理论和分析方法，结合国际和国内政治、经济等宏观环境 以及国内外基金行业现实情况进行分析，目前创办以重组业务为核心的基金公司正是时 候，通过分析发现中国经济正处在历史转型和经济结构的调整关键时期，客户需求旺盛 市场空间巨大，发展潜力极大，要迅速抓住历史变革的机遇，使百泰公司以专业化、规 模化为导向，通过十年时间，发展成为中国在重组领域最为专业、规模最大、品牌为优 的基金公司。 由于重组基金研究最早研究起步于美国，并且出现了 KKR 等一批专门从事重组业务 的投资机构，在一个相对成熟和完善的市场经济环境下，重组基金对整个经济的发展以 及重组与被重组企业都产生了全面深刻的影响。本文牢牢抓住重组基金作为研究主题， 通过中国当前的经济形势，并且借鉴美国先进的投资经验，目的是依托于私募股权基金 理论、基金治理理论、基金实施落地政策和利益相关者的相互整合为基础，尝试从新的 视角出发，目的是试图回答如下几个研究问题：（1）重组基金的意义有哪些，为什么 会选择重组基金做为研究主题，对当前面临经济转型背景下，对中国经济的有哪些好处 和影响？（2）重组基金的募资有什么渠道和途径？重组基金的团队如何搭建？重组基 金的项目如何寻找？重组基金的运营策略是什么？如何激发基金团队的业绩？（3）重 组基金的法人治理结构如何设计？重组基金的风险有哪些？如何应对可能发生的风 险？（4）重整基金未来财务预测，以及各经营指标的测算。 通过本文研究，可以得出如下结论：（1）重组基金虽然产生的时间较短且存在种 种不足，但是已经成为中国金融发展和资本市场繁荣的重要动力。（2）重组基金在实 际落地与运营中会遇到种种困难，在复杂经营环境和自身体制制度的不确定情况下，相 信重整基金将来会成为提升产业升级和应对外部挑战的重要金融制度安排。（3）大众 创业万众创新基本国策的确定，重组基金作为一种新兴的金融投资模式必将有助于推动 政策的实施落地。 关键词： 战略，并购，重组基金II Business plan for the Restructuring Fund Abstract In this paper, I attempt to propose a special financial services company – BaiTai restructuring fund management company which focuses on debt restructuring. This paper develops a business plan which considers related theories and methods of strategic management, marketing management, human resource management, financial management and other disciplines. Furthermore, this paper has combined the current status analysis from politics, economics and other domestic and international macroeconomic environment. At this stage, it is the right time to found the company which specializes debt restructuring. After analyzing, I found that the Chinese economy is undergoing a critical period of restructuring, the customer demand is very strong and the market potential is enormous. Companies will be the most influential companies in the fields of restructuring after decades if they can seize this golden opportunity to make BaiTai company specialization, scale development oriented. Since the earliest research on restructuring fund research started in the United States, there are a number of investment institutions specializing in reorganization business, such as KKR, in a relatively mature and perfect market economy environment, the reorganization of funds have produced a comprehensive and profound impact on the entire economic development and restructuring and reorganization of enterprises. This paper takes the reorganization fund as the research theme, and comes through the current economic situation in China and draws lessons from the advanced investment experience of the United States, the purpose is to rely on the private equity fund theory, fund management theory, fund implementation policy and stakeholder integration. Through this study, we can draw the following conclusions: (1) Despite the various deficiencies of the existent short-term reorganization funds, it has become an important driving force for China's financial development and capital market prosperity. (2)III Restructuring funds will encounter difficulties in actual landing and operation. Under the uncertainty of complex operating environment and institutional system, it is believed that the reorganization fund will become an important financial institution arrangement to upgrade the industrial upgrading and cope with external challenges. (3) With the determination of People entrepreneur and People innovations as the basic national policy, reorganization of funds will help promote the implementation of the policy landing as an emerging financial investment model.
