本文针对 H 公司实际情况，深入解析公司目前经营法律风险的表现，分析公司经营
法律风险管理的实践探索、存在的问题以及存在问题的原因，结合 H 公司的行业特点、
公司高层法律风险防范意识、法律事务投入等多种因素，同时借鉴国内外成功经验，从
提高公司经营者的法律风险防范意识；完善公司治理结构；建立经营法律风险识别、评
估、监控与处理四位一体的机制；将法律风险管理纳入公司战略管理；健全公司经营法
律风险防范制度；完善并严格执行各项管理制度；找准防控重点；充分利用社会力量八
个方面系统阐述了如何健全完善公司的经营法律风险防范措施。为保障这些防范措施的
有效实施，促进理论成果的应用转化，本文又从公司建立经营法律风险管理体系的保障
机制、建立有利于经营法律风险管理的企业文化、抓住机遇加快发展；政府切实缓解中
小企业融资难、创造良好外部环境；以及完善中小企业法律服务体系等多个方面做了系
统论述。

Abstract
As small and medium-sized enterprises (SMEs) are playing an increasingly important
role in national economy and social production, their legal risk management is assuming a
vital role in the development of SMEs. The characteristics of SMEs highlights the legal risk
of SMEs as one of the main risks they must face. In the era that SMEs occupy an important
position in society, how to clearly define the legal risks of SMEs and prevent those risks
becomes a critical problem.
According to the actual situation of H Company, the thesis carries out an in-depth
analysis of the company’s current legal risks, analyses the company’s practice in legal risk
management, underlying problems and the cause behind the problems. Combining various
factors such as the company’s industry characteristics, senior staff’s awareness of legal risk
prevention and input in legal matters, and taking stock of successful experience at home and
abroad, the thesis proposes measures for perfecting the company’s legal risk prevention from
eight aspects: improve administrators’ awareness of legal risk prevention; perfect the
company’s management structure; establish mechanism integrating legal risk identification,
assessment, monitoring and treatment; include risk management into the company’s strategic
management; enhance the company’s legal risk prevention system; improve and strictly
implement the management system; identify the focus of prevention and control; and take full
advantage of social resources. To ensure the effective implementation of these preventive
measures and promote the conversion of theoretical results into application, the thesis
makes a systematic exposition from the aspects of the establishment of protection
mechanisms for the operation of legal risk management system, the establishment of
corporate culture that is conducive to the operation of legal risk management to seize the
opportunity for accelerated development, the government effectively alleviate the difficulty in
