2003 年以前，全市共有近 5 万个企业，其中市属国有企业 395 家，从业人员 20
万人。从 2003 年至 2010 年，衡阳市国企改制效果显著，成功改制 200 多家。2011
年后，还有 100 多家国有企业有待改制，国企改制遇到许多困难和阻力，如：改
制任务艰巨、改制成本筹集难、改制后企业发展不平衡、改制遗留问题引发维稳
压力等。
为了系统分析当前衡阳市国企改制过程中存在的问题，并针对这些问题提出
衡阳市国企改制的发展思路。本文运用经济学与管理学等相关理论，在综合分析
衡阳国企改制现状的基础上，揭示当前衡阳国企改制面临的实际困难和存在的主
要问题，提出一些有针对性的应对策略。然后，结合三个典型的改制案例，对上
述的分析过程和结果进行深入阐述。最后，对论文进行总结，并对后续研究问题
进行展望。
本文的研究对衡阳国企改制具有一定的理论意义和实践价值，对加快衡阳国
企改制步伐能起到一定借鉴参考作用。

ABSTRACT
The state-owned enterprises occupy a very important position in
China's national economic and social development, but with the sustain
ned, rapid development of economy in China, state-owned enterprises
have various difficulties and contradictions which become the bottleneck
that restricts the sustainable development of social economy. Therefo
re, the restructuring of state-owned enterprises has become an importa
nt link in the reform of the economic system. Hengyang, one of Chin
a's important old industrial bases city, there are many state owned ente
rprises who have larger proportion in national econom y. Before
2003, there are nearly 50000 enterprises, including 395 state-own ed en
terprises, employing 200000 people. From 2003 to 2010, the Heng
yang municipal state-owned enterprises restructuring g effect got
obviously effect, the successful restructuring of more than 200. After
2011, there are more than 100 state-owned enterprises to need to be
restructuring, restructuring state-owned enterprises encounter many
difficulties and resista nce, such as: restructuring the arduous task, the
reform cost by raising difficult, imbalanced enterprise develop pment, the
restructuring problems pressure stability etc.
In order to system analysis in Hengyang city in the process of SOE
reform, and puts forward the development thought of Hengyang state
owned enterprise reform in order to solve these problems. In this
paper, using economics and management and other related theories,
