现代医药企业,在香港联合交易所主板上市的上市公司。盈天医药在 2013 年下半年对
贵州同济堂进行并购,并开始进行企业文化整合。文化整合到 2013 年 10 月份完成第一
阶段,整合过程中,整个公司人员基本稳定,业绩平稳增长,整合效果良好,成为 2013
年国内医药企业整合的成功案例
本文在论述国内外关于企业文化及文化整合的相关理论和实践经验基础上,通过文
献分析,案例分析的方法,研究盈天医药并购同济堂的文化整合过程。对其文化整合的
成功的因素进行总结,总结出了并购前并购对象文化了解和评估;文化整合的模式和具
体方案;高层重视行动迅速;建立良好、沟通的平台;持续传递正能量这五个影响文化
整合成功的因素。目前,国内企业的并购越来越频繁,医药企业更是身处并购的大潮之
中,希望本文能够对于中国企业特别是医药企业在未来并购中的企业文化整合提供可以
借鉴的个案材料和成功经验

In the wake of Globalization, more and more enterprises choose mergers and acquisitions
to acquire high rise on company and most of them failed. Statistics shows that 70% mergers
were not success in a long run. The factors caused failure are a lot and the most important one
is culture integration.
Winteam Pharmaceutical is a big modern Pharmaceutical company listed on the main
board of the Hongkong Stock Exchange, which was held by China Pharmaceutical group-the
biggest of China. Winteam Pharmaceutical merged Guizhou Tong Jitang at the year of
2013 ,and then stared culture integration. The first phase finished at October, 2013. During the
process of culture integration,
Based on the practical experiences and related theories of company culture and culture
integration inside and outside China, this paper studied the process of culture integration after
the merger between Winteam Pharmaceutical and Tong Jitang in the way of document
analysis and case study. In a conclusion, there are five factors caused the success of culture
integration: learned and evaluated both parties culture before the merger, made specific plan
and mode of culture integration, fast-reacted from high-level management , established a
complete communication system, and continually deliver positive value. Nowadays,
Mergers and acquisitions of enterprises become more and more frequent in China,
especially in the pharmaceutical industry. This paper wishes to provide a reference case and
some success experiences of cultural integration in the process of mergers for them in
future.
