摘 要
随着我国国有企业改革进入到建立现代企业制度的突破期，作为现代企业制度
的“核心”，公司治理结构问题已经成为理论界和实际工作部门研究的一个重要课
题。
本文对富龙公司性质、规模、产值以及发展历程在内的总体情况予以介绍，并
对其公司治理结构进行了详细的分析。从富龙公司的基本情况来看，我们可以发现
其股权结构的变化。另外，在第三章中，本文对富龙热电公司治理结构存在的主要
问题进行了分析，这些问题主要包括股权结构不完善、公司内部治理结构不规范、
对经理人员的选拔、激励和约束机制不完善等。在此基础之上，指出了当今企业在
公司治理过程中存在两种模式，通过对这两种模式的分析，为富龙公司提出了治理
模式的不同选择，富龙公司在进行选择的过程中，应当尤为注意对其原则的把握。
另外，也为富龙公司治理结构提出建议，希望能够为富龙公司的发展提供有力的参
考。

Abstract
With the reform of China's state-owned enterprises entering into the breakthrough
period of establishing modern enterprise system, as thecoreof modern enterprise
system, the structure problem of corporate governance has become an important subject
of theoretical research and practical work departments.
This paper makes an introduction of the general situation of Chifeng Fulong
Thermal Power Co.,Ltd, including its nature, scale, production and development process,
and also analyzes its corporate governance structure. From the basic situation of Chifeng
Fulong Thermal Power Co.,Ltd, we can find the change of its ownership structure. At the
same time, this paper analyzes the main problems of the governance structure of Chifeng
Fulong Thermal Power Co.,Ltd in chapter 3. These issues include that its ownership
structure is not perfect, that it does not regulate its internal governance structure and that
the selection, incentive and constraint mechanism to its managers are not perfect. On this
basis, there are two kinds of modes in today's corporate governance, through the analysis
of these two kinds of modes, this paper puts forward the selection of the governance
modes of Chifeng Fulong Thermal Power Co.,Ltd. And this company should pay
attention to its principles in the process of choosing them. Moreover, this paper also puts
forward governance structure suggestions for Chifeng Fulong Thermal Power Co.,Ltd
and hopes to provide useful reference for the development of this company.
