摘 要
上世纪 90 年代初，城镇化的快速推进对基础设施建设提出了更高的要求，但分税
制改革的实施导致地方政府缺乏足够的财力来满足不断扩大的基础设施建设要求。因此
在这一背景下，地方政府开始设立投融资平台进行间接融资，为基础设施建设等提供所
需要的资金。自 2014 年以来，为化解政府的债务危机，防范金融危机，国家有关出台
的各项措施，提出剥离融资平台公司政府融资职能，要求地方融资平台不得新增政府债
务。地方政府必须要能够确保已有或新发生债务在依法担保的范围内，同时对于地方政
府债务，必须要按照担保合同的规定和要求承担相应的法律责任。
本文选取 NC 城投作为具体研究对象，归纳总结国内外关于地方融资平台的研究文
献，借鉴国内地方投融资平台转型经验，对 NC 城投公司的转型发展问题进行了系统性
的分析和研究。通过本文的分析提出，NC 城投公司要积极进行市场化的转型，完善城
投公司法人治理结构、打造多元化融资渠道、推进运作市场化、以及创打造优质资产管
理平台，同时要求NC 城投公司要不断提升风险控制和风险管理的能力。
NC 城投公司转型是实现可持续发展的必然之路，通过对NC 城投公司转型发展的
研究，能够为 NC 城投公司转型发展提供相应的路径，同时为我国地方政府投融资平台
的转型发展提供相应的借鉴。

I Abstract
Abstract
In the early 1990s, the rapid advancement of urbanization had put forward higher
requirements for infrastructure construction, but the implementation of the reform of the tax
system led to the lack of sufficient financial resources of local governments to meet the
expanding requirements of infrastructure construction. Therefore, in this context, local
governments have begun to set up investment and financing platforms for indirect financing
to provide the required funds for infrastructure construction. Since 2014, in order to resolve
the government;s debt crisis and prevent the financial crisis, the state;s various measures have
been introduced to the government;s government financing functions, requiring local
financing platforms to not add government debt. Local governments must be able to ensure
that existing or new debts are within the scope of guarantee in accordance with the law. At the
same time, for local government debt, they must bear corresponding legal liabilities in
accordance with the provisions and requirements of the guarantee contract.
This article selects NC Urban Investment as a specific research object, summarizes the
research documents of domestic and foreign financing platforms at home and abroad, draws
on the transformation experience of domestic local investment and financing platforms, and
systematically analyzes and research the transformation and development of NC urban
investment companies. Through the analysis of this article, NC Urban Investment Corporation
should actively carry out market -oriented transformation, improve the legal person
governance structure of urban investment companies, create a diversified financing channel,
promote marketization, and create a high -quality asset management platform. The company
must continuously improve the ability of risk control and risk management.
The transformation of NC Urban Investment Company is an inevitable path to achieve
sustainable development. Through the research on the transformation and development of NC
urban investment companies, it can provide the corresponding path for the transformation and
development of the NC urban investment company. Provide the corresponding reference.
