I 摘要 十八大以来,CH 集团作为典型的省属重点国有企业发展进入快车道,航空运 输主业机队规模不断扩张,航线网络布局不断拓展,成为典型的中等规模实力航 企,在全球航空市场的排名不断攀升,品牌美誉度和影响力逐渐扩大。在主业的 驱动下,航空相关产业发展迅速,并逐步由航空相关产业向地产、金融等领域扩 张。随着企业规模实力提升,企业经营地域、业务领域复杂多元,给企业治理管 控带来巨大挑战,现有的管理模式亟待改进提升。 针对 CH 集团当前的治理困境,本文以 CH 集团的管控体系为研究对象,主要 从管控模式、管控体系、制度体系、管控方法等方面采用了资料分析法、体系剖 析法,通过理论与实证相结合对 CH 集团管控体系进行研究解读。 本文系统研究了我国企业集团的发展历程和现阶段中国企业集团呈现的特 点,并对国内外知名企业管理学者关于管理控制、集团管控、管控模式的研究理 论进行了详细研读综述,梳理了我国企业集团管控模式发展演变和不同类型,基 本厘清了 CH 集团所处的宏观经济背景、管控提升理论依据、管控体系建设提升的 方向。本文分析了 CH 集团的发展现状和管控特点,指出 CH 集团存在业务模式不 成熟、业务规模差距较大、发展良莠不齐,企业之间没有形成协同效应等问题, 在纵向一体化产业布局和横向规模化扩张都存在一定差距,集团公司没有实现整 体管理优势,各企业单独为战,协同效应没有显现。针对上述问题,本文提出了 关于 CH 集团管控模式、管控权限、管控方法、组织架构、管理层级的改进建议, 并根据研究结果和具体实践总结了 CH 集团管控体系建设的经验、不足,并对未来 持续提升管控工作做了展望。 关键词:企业治理,管控体系,国有企业,管控方法ABSTRACT II ABSTRACT Since the 18th National Congress of the COMMUNIST Party of China (CPC), CH Group, as a typical provincial key state-owned enterprise, has been on the fast track of development. With the continuous expansion of its main aviation fleet scale and airline network layout, IT has become a typical medium-sized airline enterprise with strength. Its ranking in the global aviation market has been constantly rising, and its brand reputation and influence have been gradually expanding.Driven by the main industry, aviation related industries have developed rapidly and gradually expanded from aviation related industries to real estate, finance and other fields. With the improvement of enterprise scale and strength, the complexity and diversity of enterprise operation regions and business fields bring great challenges to enterprise governance and control, and the existing management mode needs to be improved urgently. In view of the current governance dilemma of CH Group, this paper adopts data analysis and system analysis method from aspects of management and control mode, management and control system, institutional system and control method, etc., to study and interpret the management and control system of CH Group by combining theory with empirical research. System in this paper to study the development of enterprise groups in China and present the characteristics of the present Chinese enterprise groups, combing the development of our country enterprise group control mode evolution and different types, basic macroeconomic background to clarify the CH group, control theory, This paper points out that the CH group business model is not mature, business scale, developing the good and bad are intermingled, faouring no form a synergistic effect between enterprises, in the scale expansion of the horizontal and vertical integration industry layout, there is a certain gap group company does not implement the overall management advantages, the enterprise to fight alone.In view of the above problems, this paper puts forward Suggestions on the management control authority, management control method, organizational structure and management level.
