甲方：南宁东亚糖业集团有限公司
(PartyA:NanningEastAsiaSugarGroupCo.,Ltd.)
乙方：南宁至哲企业管理顾问有限公司
(PartyB:NanningZhizheQiyeGuanliGuwenCo.,Ltd.)
根据《中华人民共和国合同法》的规定，甲、乙双方本着互惠互利，真诚合作的原则，决定就共同完成甲方管理咨询项目签订本合同。

1.2服务内容

乙方指导甲方进行管理系统完善，建立现代企业人力资源管理体系，从事管理规范化、员工职业化、管理人员能力素质提升等方面的咨询或培训。服务内容包括：

1.3服务目标：

通过管理改善项目的实施，完善甲方的人力资源管理体系，实现管理规范化、员工职业化、管理人员能力素质的提升，有利于战略发展目标的达成。
ThismanagementimprovementconsultationaimstoassistPartyAinimprovingitsexistinghumanresourcemanagementsystem,reachingastandardizedoperation,developingateamofvocationalizedemployees,advancingcompetenciesofthemanagers,ultimatelyachieveitsstrategicdevelopmentgoals.
1.4服务范围：

2、履行期限
Termofperformance
双方决定乙方顾问入驻日期为2005年4月6日，预计项目完成时间为4个月。咨询项目自乙方顾问入驻甲方开始至项目完成经甲方验收合格止。
ThetwoPartiesagreetostartupthisprojectsince6May,2005,andit’sexpectedthatitwilllastfourmonthsuntiltheprojectsolutionsarecheckedandacceptedbyPartyA.
3、双方责任

3.1甲方责任
ResponsibilitiesofPartyA
3.1.1甲方应高度重视公司管理改善项目的实施，对乙方的工作提供支持，负责协调内部各部门及各工厂的关系，调动相关的资源，提供相关数据资料及方案文字处理等工作。被双方认可的工作或方案，在甲方组织中的贯彻、推动，由甲方负责。
PartyAshouldtakespecialemphasisonthismanagementimprovementproject,andofferPartyBallnecessaryassistanceincoordinatingcross-sectionrelations,deployingrelatedresourcesand,providingrelevantdatainformationandwordprocessingservice.ProjectsolutionsthathavebeenapprovedbythetwopartiesshallbepromotedandimplementedbyPartyA.
3.1.2甲方负责与该项目有关的第三方进行协调，以保证项目的顺利进行。
PartyAshallberesponsibleforcoordinatingwiththethirdpartyrelatingtothisprojectsoastoensureitinrightprogress.
3.1.3甲方应按合同要求支付咨询费用。
PartyAshouldpayPartyBconsultationchargeinaccordancewiththeprovisionsofthecontract.
3.1.4甲方向乙方顾问提供在甲方工作时必要的办公条件（如办公室、市话），并为乙方顾问提供简便的午餐。
PartyAshouldassistPartyB’sconsultantsinprovidingfundamentalfacilitiessuchasofficeandtelephoneandstaffmeal(lunch)aswell.
3.1.5甲方应确保项目运作期间组织人员的稳定。
PartyAshouldassureastablecoordinationteamduringtheprojectinprogress.
3.1.6乙方提交的阶段性方案甲方应在5个工作日内予以回复，最终方案应在10个工作日内回复；如甲方在5个工作日后未予阶段性方案明确答复，乙方将视为甲方默许，可以开展下一阶段的工作；如甲方在10个工作日内未予最终方案明确回复，乙方将视为甲方接受。
PartyAshouldrespondintimetoPartyBonitssolutionssubmitted,say,offeringtheiropinionsaboutthephasesolutionswithinfiveworkingdays,andaboutthefinalsolutionswithintenworkingdays.ShouldPartyAbeunabletogiveafeedbackonthephasesolutionswithinfiveworkingdays,PartyBwilltakeitacquiescedbyPartyAandwillcontinuetheworkofnextphase.ShouldPartyAbeunabletogiveafeedbackonthefinalsolutionswithintemworkingdays,PartyBwilltakeitacceptedbyParty.
3.2乙方责任

3.2.1乙方应按合同第1.2条规定的内容为甲方提供咨询服务。

3.2.2乙方负责咨询计划的制定、方法的传授、工具的提供及方案设计。
Responsibleforestablishingaconsultationplan,tutoringPartyAadvancedmanagementmeansandtools,anddesigningtheprojectsolutions.
3.2.3乙方应按照合同规定的时间、进度保质保量完成工作。
Fulfillingthespecifictasksandonscheduleandingoodqualityandquantity.
3.2.4乙方应确保项目组的稳定性，保证进场顾问的专业水平。
Insuringastableconsultingteamaswelltheprofessionallevelofitsconsultants.
3.2.5乙方应尽力协助甲方与项目有关的第三方进行协调。
AssistingPartyAincoordinatingwiththethirdpartyrelevanttothisproject.
3.2.6负责对甲方相关管理人员的培训，使甲方人员具备管理体系运作能力。
ResponsiblefortrainingthemanagersofPartyAsothattheycanbecapableofrunningthisnewmanagementsystem.
3.2.7乙方完成工作后，应向甲方提供不少于一套的文字材料和电子文档。乙方提供的服务成果应尽可能做到通俗易懂。
