高管从军经历的治理效应研究——基于企业违规的考察
摘要
我国正处在市场经济繁荣发展的进程中，但企业违规行为却屡禁不止。企业违规
行为往往能够反映公司在治理中存在的问题。虽然相关法律法规逐步完善，各方监管
趋于权责明确，上市公司的违规行为并没有销声匿迹。企业违规行为不仅会使公司的
投资者承受重大的损失，严重者甚至会对资本市场的健康发展及社会稳定带来不利影
响。因此，各个领域如监管、审计、学术研究都开始了对企业违规行为影响因素及治
理方法的探索。在学术领域，企业违规行为已经发展成为了相对独立的研究方向。然
而，过去的研究大多只关注到了公司层面的影响因素，聚焦高管个体层面，探究其对
企业违规行为影响的研究不够丰富。按照高层梯队理论的核心观点，公司业绩和治理
结构等方面的表现会很大程度上受高管个人特质的影响。有研究表明，完善的公司治
理结构能够在一定程度上抑制上市公司的违规行为。另一些研究更为直接，证明了某
些特定的高管特征的确可以解释公司的一些决策和行为。
在党的十九大报告中，习近平总书记提出了“军民融合”发展战略，该项战略已
经成为我国战略体系顶层设计中重要的一环。改革开放以来，我国先后进行了三次大
裁军，退伍军人的群体逐渐壮大。随着多年的成长，有一部分退伍军人已经成为了我
国企业的中坚力量。基于此，本文将核心高管的从军经历和企业违规行为这两个要素
加以联系，探究具有从军经历的核心高管是否对企业违规行为具有治理效应？这种治
理效应通过何种机制发挥作用？本文选取2004至2017年中国沪深A 股上市公司为
样本进行了实证研究。研究结果发现：（1）具有从军经历的CEO 或董事长可以抑制
企业的违规行为；（2）相比于从军经历期间没有担任过干部的CEO 或董事长，从军
期间担任过干部的CEO 或董事长能够加强其对企业违规行为的抑制作用；（3）具有
从军经历的CEO 或董事长通过提高公司的内部控制质量发挥其对企业违规行为的治
理作用；（4）作为外部监督机制的分析师关注度和媒体关注度可以加强军人CEO 或
董事长对企业违规行为的抑制作用，在媒体关注度中，网络媒体关注的作用相对明显。
高管特征能否治理企业违规行为是一个比较新颖且重要的话题，本文的研究意义
在于：（1）考察了“军民融合”背景下企业高管具有从军经历是否有助于规范企业行
为，使得企业在法律法规的约束下健康运营和发展。丰富了高管从军经历经济后果的
本土化研究，拓展了企业违规行为影响因素的研究领域。（2）证实了高管特征这类软
性公司治理机制的治理效应，为国家“军民融合”政策扶持提供了新证据、为完善公
司治理提供了新思路、为企业选聘高管和个人利用自身优势提供了新建议。（3）本文
的结论有助于理解企业内部控制质量对抑制企业违规行为起到的作用，以及具备什么
特征的高管有助于完善企业的内部控制机制、提高企业的内部控制质量。

Abstract
In the process of China’s market economy development,the illegal behavior of
enterprises keeps occurring despite repeated prohibition.Illegal behaviors always reflect
deficiencies in corporate governance.The enterprise's illegal behavior will not only make
investors bear heavy losses,but also bring adverse effects on the development of the
capital market and social development.Therefore,various fields such as supervision,
auditing,and academic research have begun exploring the influencing factors of corporate
violations to prevent it.In academic field,corporate violations have become an
independent research direction.However,most of the previous studies only focused on the
company-level influencing factors,few studies explored the impact of individual
characteristics of executives on corporate violations.According to the ‘Upper Echelons
Theory’,the characteristics of individual executives will have significant impact on
companies’performance and governance structure.Studies have shown that a strong
corporate governance structure have a certain inhibitory effect on listed companies’
violations.Other in-depth studies also prove that certain executives’characteristics account
for some of the company’s decisions and behaviors.
Xi Jinping first put forward the development strategy of ‘Civil Military Integration’in
2015,which has become a significant part in China’s top-level strategic system.Since
China’s reform and opening-up,we have carried out major disarmament three times,and
the number of veterans keeps growing.some of them have become the backbone of
Enterprises.Based on it,this paper links the military experience of core executives with
corporate violations,and explores whether CEO or chairman with military experience can
affect corporate violations?What is the result and through which mechanism?This paper
selects listed companies in China from 2004to 2017as the research objects.The results
show that:(1)Core executives with military experience can inhibit corporate violations;(2)
Compared with Core executives without military title,core executives with military title
can strengthen the inhibition effect on corporate violations;(3)Core executives with
military experience inhibit corporate violations by improving the quality of internal control
of the company;(4)Analyst attention and media attention can strengthen the military core
executives’inhibiting effect on corporate violations.Moreover,compared with the press
attention,online media attention is more effective.
How the characteristics of executives influence the corporate violations is a rather
novel and important subject,with the main reasons as following:First of all,this paper
