汇编 出版。保密的学位论文在解密后适用本规定。 研究生签名: 时间: 年 月 日 导师签名: 时间: 年 月 日 I 摘要 自2013年以来,国家出台 了一系列涉及混合所有制改革的文件,推动国有企业进行混改。央企 和地方大型国企从2017年起进行混改试点并取得了一些成就。2017年兵团国有企业改革也进入了 关键时期, 混改是改革的重要途径。当前文献中研究重点多在具有垄断地位的央企或大型省属国企, 结合竞争力不强的地方国企的研究很少。 本文以八师国资委下属企业实际控制的天科公 司为研究对象,在简要阐述该公司的混改背景和 历程基础上,主要就公司混改面临的问题及对策成效进行研究。研究结果表明,该公司在混合所有 制改革中面临着监管机构担心 国有资产流失,大股东担忧丧失绝对控制权后的公司治理,非公资本 及员工担心投资受损等问题;为解决面临的问题公司采取了以定向增资的方式避免国有资产流失, 以股权激 励和价格实惠首先实现管理层和核心员工出资认股,向资本方传递了信心,同时通过员工 陪增及赋予特权打消非公资本顾虑,并重构优化公司法人治理结构维护各方利益等对策; 正是由于 公司采取了上述对策之后,公司的混合所有制改革取得了较好的成效,体现在公司股权结构的变化 促使公司建立了科学的现代企业法人治理结构,公司的效率和活力大 大提升,公司逐步扭亏为盈, 偿债能力、运营情况及成长情况等指标大幅提升,获得授权发明专利20项,起草并正式发布国家标 准4项,行业标准1项。公司成为国内生产规模最 大、产品种类最全的第三代半导体碳化硅晶片生 产企业,同时也是国内唯一能批量供应工业级碳化硅晶片的企业,综合实力在碳化硅衬底行业全球 第四、中国第一。本文丰富了 国有企业混合所有制改革的研究案例,为地方中小国有企业进行混改 提供一定的借鉴和参考。 关键字:国企混改;员工持股;定向增资;公司治理 II Abstract Since 2013, the state has issued a series of documents related to the reform of mixed ownership to promote the mixed reform of state-owned enterprises. Since 2017, central enterprises and local large state-owned enterprises have carried out mixed reform pilot projects and made some achievements. In 2017, the reform of state-owned enterprises in XPCC also entered a critical period, and mixed reform is an important way of reform. In the current literature, the focus of research is mainly on the central or large provincial state-owned enterprises with monopoly position, and there is little research on the combination of local state-owned enterprises with weak competitiveness. This article takes Tianke Company which is actually controlled by a subsidiary of the Eighth Division SASAC, as the research object. Based on the brief description of the company's mixed reform background and history, it mainly studies the problems and countermeasures of the company's mixed reform. The results of the study indicate that the company is facing problems such as the loss of state-owned assets by regulators, corporate governance after losing absolute control, and non-public capital and employees worrying about investment damage during mixed ownership reform. In order to solve the problems faced, the company adopted countermeasures such as avoiding the loss of state-owned assets by means of targeted capital increase, equity incentives and affordable prices to achieve capital subscription by management and core employees, conveying confidence to the capital side, at the same time, non-public capital concerns are alleviated through the staff's capital increase and privileges, restructuring and optimizing the corporate governance structure of the company to safeguard the interests of all parties. It is precisely because the company has adopted the above-mentioned countermeasures that the company's mixed ownership reform has achieved good results, reflected in the changes in the company's equity structure, the company has established a scientific modern corporate governance structure, which has greatly improved the company's efficiency and vitality, the company gradually turned losses into profits, and the indicators of debt repayment ability, operation and growth have improved significantly. The company obtained 20 authorized invention patents, drafted and officially issued 4 national standards and 1 industry standard. The company became the third-generation semiconductor silicon carbide wafer manufacturer with the largest production scale and the most complete product types in China. At the same time, it is also the only company in China that can supply industrial-grade silicon carbide wafers in batches. Its comprehensive strength ranks fourth in the world in the silicon carbide substrate industry and first in China. This article enriches the research cases of mixed ownership reform of state-owned enterprises, and provides certain reference and reference for local small and medium-sized state enterprises.
