摘 要
河南省A建设集团成立于2010年,是一家集建筑总承包、劳务输出、建筑
科技和建筑相关供应链大型股份制企业。以建筑总承包为龙头涵盖多项相关业
务,河南省A建设集团旗下有三家子公司。目前,河南省A建设集团面临着股
东结构不合理、董事会制度不完善、监事会监管不力、融资结构以及产权制度和
经营者激励约束机制不健全等集团治理的问题。这些问题严重制约了河南省A
建设集团的快速发展和市场竞争力。因而,如何制定合理的治理策略是河南省A
建设集团亟待解决的问题
本文在收集整理大量文献资料的基础上,以公司治理和集团治理为理论依
据,通过基础理论知识的了解并结合一些国内外集团治理的成功实践,系统地研
究河南省A建设集团治理策略。首先,从河南省A建设集团的治理背景着手,
分析了建筑业的行业现状以及河南省A建设集团的发展状况和集团治理中出现
的问题。其次,设计了河南省A建设集团治理构架和治理原则,通过构建适度
集中的股权结构、多元化投资主体的股权制衡和子公司的股权结构分析,提出了
河南省A建设集团的股权结构优化策略。进而,通过董事会结构优化、设立独
立董事制度、优化监事会结构等,提供河南省A建设集团董事会治理策略。最
后,在经营者选聘与激励、经营者约束与考核等方面,提出了河南省A建设集
团经理者激励与约束的优化策略
本文研究特色与创新之处主要表现在:①设计河南省A建设集团的治理结
构,研究河南省A建设集团股权结构优化方案;②在董事会设置、独立董事制
度建立以及监事会监管机制完善的基础上,提出河南省A建设集团董事会和监
事会治理优化策略;③通过建立经营者激励约束机制,提供河南省A建设集团
经营者激励约束治理优化策略
本文的研究将不仅为河南省A建设集团提供一套可操作的治理优化策略,
使其建立一套高效的公司治理策略,提高集团的整体效益和综合竞争力,而且将
为其他同类企业的集团治理策略提供理论依据和分析途径

Abstract
A construction group in henan province was established with 2010, it has A
history of 7 years. Is a collection of construction general contracting, labor export,
construction technology and construction related supply chain large-scale joint-stock
enterprises. To a construction general contracting covers a number of related business,
the company's three subsidiaries. At present, the unreasonable structure of A
construction group in henan province is faced with the shareholders, the board of
directors system is imperfect, weak supervision of the board of supervisors, financing
structure and property right system and the operator incentive and constraint
mechanism is not sound governance structure unreasonable system, inhibit the
development of the enterprise. Make the enterprise development stagnation, of A
construction group in henan province in the rapid development and market
competitiveness. So only on the mode of governance structure reform, to make A
sustainable development in construction group in the construction industry in henan
province. From two aspects of theory and practice of governance structure model
combined with the company, and the problems faced to improve and strengthen
governance structure mode, thus driving the development of enterprises.
In this paper, based on the collected A large number of documents, to corporate
governance and operations as the research object, through the basic theoretical
knowledge and in combination with the practice of some domestic and international
successful corporate governance structure, the system of the construction of henan
province A group to study the governance structure and operation, first of all, from the
management of A construction group in henan province background, analysis of the
current situation of construction industry, as well as the development of A
construction group in henan province and governance issues. A construction group in
henan province is analyzed on the inside of the setting of equity structure and analysis
of system and the setting of the board of directors, and managers' motivation, group of
companies, subsidiaries, and its associated enterprises shareholding structure,。
