摘要
随着我国人口数量的增长，人口老龄化的加快以及新医疗改革政策的推动，中国己成
为全球医药市场增速最快的地区之一。为了解决医药企业在发展过程中的融资瓶颈，又受
制于IPO的种种不顺，借壳上市成了医药企业热衷的选择。
我国医药企业借壳上市后究竟能否实现预期的协同效应，能否可以有效地提高企业的
经营绩效等问题已成为当前管理理论界的热点问题。本文以济川药业借壳洪城股份上市案
例为研宄对象，对上述相关问题进行具体研宂，以期为企业自身的决策提供分析依据，也
为其他企业上市提供借鉴和参考。
本文在阅读大量文献资料的基础上，将理论和案例相结合，采用比较分析法、因子分
析法、事件分析法等理论研究方法，分析了济川药业借壳上市的动因，以及借壳上市后的
协同效应、财务绩效表现、资产质量和市场反应等问题。通过分析本文主要得出如下结论：
首先，济川药业借壳上市的财务协同效应较为明显，其他一般；其次，济川药业借壳上市
的财务绩效总体表现良好，股东财富有较明显的改善；再次，此次借壳上市的市场反应显
著。总体而言，济川药业借壳上市的目的基本达到。另外，借鉴济川药业借壳上市的成功
经验，本文最后在关于壳资源的选择和借壳方式的选择上给出一般性建议。

Abstract
With　the　increase　of　population，　the　acceleration　of　population　aging　and　the　promotion　of
new　medical　reform　policy，　China　has　become　one　of　the　fastest　growing　regions　in　the　global
pharmaceutical　market　Subject　to　the　various　＂bad
＂　of　IPO
，　backdoor　listing　has　become　a　keen
choice　for　pharmaceutical　enterprises．
After　the　backdoor　listing　of　Chinese　pharmaceutical　enterprises　can　realize　the　expected
synergistic　effect，Whether　it　can　effectively　improve　the　business　performance　of　enterprises　has
become　a　hot　issue　in　the　current　management　theory．　This　paper　takes　the　case　of　Hongcheng
stock　listing　of　Jichuan　Pharmaceutical　Industry　as　the　research　object，　carries　on　the　concrete
research　to　the　above　question．　In　order　to　provide　the　analysis　basis　for　the　enterprise　own
decision，　also　provides　the　reference　for　other　enterprises　listed．
On　the　basis　of　reading　a　great　deal　of　literature，　this　paper　combines　the　theory　with　the
case，　adopts　the　comparative　analysis　method，　the　factor　analysis　method，　the　event　analysis
method　and　so　on，　analyzes　the　motivation　of　the　Jichuan　pharmaceutical　industry　to　go　on　the
market　through　the　shell．　As　well　as　the　synergy　effect，fmancial　performance　performance，asset
quality　and　market　reaction　after　backdoor　listing．　Through　the　analysis　of　this　paper，　the　main
conclusions　are　as　follows：Firstly，　the　financial　synergistic　effect　of　backdoor　listing　of　Jichuan
Pharmaceutical　is　obvious，　and　the　other　is　general．　Secondly，　the　financial　performance　of
backdoor　listing　of　Jichuan　Pharmaceutical　is　good，　and　the　shareholder　wealth　is　obviously
improved．　The　market　response　to　the　backdoor　listing　has　been　remarkable．　In　general，　the
purpose　of　Jichuan　Pharmaceutical

g　has　been　basically　achieved．　In　addition，
the　successful　experience　of　Jichuan　Pharmaceutical　Co．，　Ltd．＇s　backdoor　listing　has　been　used
for　reference．　At　the　end　of　this　paper，　a　general　suggestion　is　given　on　the　selection　of　shell
resources　and　shell　borrowing　methods．
