摘要
随着知识经济时代的来临,企业面临的竞争环境日趋激烈,进行有效的创新已
成为企业构建竞争优势的关键。在这种背景下,中国越来越多的企业开始进行大量
的资金与人力投入开展创新活动,但总体而言中国企业的创新能力与发达国家相
比仍然相差较大。究其原因在于企业创新活动的有效性不仅在于对技术能力的获
取更在于对技术资源的管理即技术管理。作为企业战略决策的制定者和实施者,企
业的高层管理团队在企业的创新活动中扮演着重要的角色。为了促使高层管理者
以企业家的身份充分发挥其管理才能,并避免其个人机会主义行为的发生,设计科
学合理的企业管理机制可以恰到好处地激励和约束高层管理团队的行为决策。另
外,随着改革的深入,制度环境的地区差异性对企业的内部管理机制的作用发挥也
产生了重要的影响。因此,基于该背景,企业如何在内外制度的双重影响下,通过
技术管理能力与技术能力构建企业的竞争优势是本文要解决的主要研究问题
本文以资源基础观为理论基础,从制度的视角出发,分析了在外部制度环境的
影响下,企业内部管理机制对企业技术管理能力与技术能力的协同和企业竞争优
势的关系的作用。以中国沪、深交易所上市制造业公司2012-2014年的数据为样本,
实证检验技术管理能力与技术能力的协同和企业竞争优势的关系,企业管理机制
的调节作用以及地区制度发展程度的二次调节作用。通过实证分析得出以下研究
结论:(1)企业技术管理能力与技术能力的协同对竞争优势具有正向影响;(2)企
业管理机制中的激励机制对企业技术管理能力与技术能力协同和竞争优势的正相
关关系具有倒U型的调节作用,监管机制对二者的关系不具有显著的调节作用;
(3)地区制度发展程度对激励机制的调节作用具有正向的促进作用,对监管机制
的调节作用的影响不显著
本文的研究结论从理论上深化了对技术管理能力与技术能力协同和竞争优势
的关系的认识,同时对企业提升竞争优势也具有重要的管理启示

ABSTRACT
With the coming of the knowledge - based economy ages, the environment of
competition faced by firms is becoming more and more tougher and successful innovation
has become the key to build competitive advantages. In this context, more and more firms
in China have begun to invest a huge amount of financial and human resources to innovate,
but unfortunately, there is still a big gap in terms of innovative ability between firms in
China and firms in developed countries. The main reason is that successful innovations
rely not only on acquiring technological capability, but also on the management of
technological resources, namely technology management capability. As the maker and
implementer of the strategic decisions, top management team plays an important role in
the innovation activities of firms. In order to promote senior managers to make full use
of their managerial abilities and avoid their personal opportunistic behaviors, designing
scientific and reasonable corporate governance can motivate and constrain the behaviors
and decisions of top management team. Moreover, as the reform goes on, regional
differences of institutional development affect the functions of corporate governance.
Therefore, under such context, how to build competitive advantages of firms by
technology management capability and technological capability under the influence of
internal and external institutions is the main problem that this research is going to solve.
Based on Resource-Based View, this research analyzes the impact of corporate
governance on the relationship between the synergy of technology management
capability and technological capability and competitive advantage under the influence of
institutional development. Recent data on Chinese publicly listed manufacturing firms in
Shenzhen and Shanghai stock markets during 2012 – 2014 are used to test the relationship
between the synergy of technology management capability and technological capability
and competitive advantage, the contingency factor of corporate governance and the
contingent role of institutional development. This research finds that: (1) The synergy of
technology management capability and technological capability is positively related to
competitive advantage. (2) The incentive mechanisms moderate the positive relationship
of the synergy of technology management capability and technological capability and。
