摘要
改革开放以来,经过 30 多年的发展,民营经济已经成为我国经济的重要组
成部分,在拉动经济增长、推动转型升级、促进市场化改革、吸纳城乡居民就
业的等方面发挥着重要的作用。党的十八大之后,随着改革的不断深入,民营
企业还将会迎来更多的发展机遇。然而,伴随着发展,民营企业遇到了诸多挑
战,面临着一些“成长的烦恼”。一是我国民营企业产生的历史、成长的时间都
较短,管理知识及经验不足,资金实力比较薄弱,经营规模不大,在发展过程
中容易夭折。二是我国的民营企业中绝大部分属于家族企业,随着企业的发展,
家族式管理的弊端也逐渐暴露出来,股权过于集中,“一股独大”;所有权与经
营权不分,内部控制不合理;排斥非家族人才;激励约束机制欠缺等,影响和
制约公司的进一步发展壮大。三是随着企业规模的扩大,企业在创立初期所建
立的治理模式越来越不适合企业的发展,企业的发展陷入瓶颈。“打铁还需自身
硬”,对民营企业来说,建立起规范有效的现代公司治理结构,提升自身实力,
进行有效的内部管理就显得尤为重要了

本文以 A 建筑有限公司的公司治理问题为研究对象,探讨如何构建一个健
康的、符合企业目前发展状况的公司治理模式。A 建筑有限公司是一家家族企业,
虽然公司目前运营发展良好,但其家族治理模式给企业的进一步发展带来了桎
梏。例如:产权结构明晰,但股权相对集中;所有权与经营权没有完全分离,“家
族”与“企业”混淆不分;家长集权式管理,缺乏有效的监督和制衡机制;激励约
束机制不健全,未合理利用职业经理人市场,人才流动频繁;缺乏科学的管理
制度,没有形成良好的企业文化。本文在深入分析 A 建筑有限公司存在这些问
题的同时,借鉴英美、德日、东南亚国家的公司治理模式以及我国公司治理模
式,对完善 A 建筑有限公司公司治理模式做了设想,从股权结构、组织结构、
激励机制三方面提出了完善其公司治理的优化方案,并从完善落实内部各项规
章制度、建立包容开放的企业文化、完善科学的决策机制、引入外部治理方式
四个方面提出了保障措施

本文系统地分析了 A 建筑有限公司治理结构模式,代表了对民营企业家族
治理模式的考察,并针对 A 建筑有限公司提出了优化治理方案。希望可以为我
国民营企业在进一步完善其公司治理结构,促进其科学化发展方面提供一定的
借鉴

Abstract
Since the reform and opening up, after 30 years of development, the private
economy has become an important part of China&39;s economy, in stimulating economic
growth, promote the transformation and upgrading, promote market-oriented reforms,
to absorb the employment of urban and rural residents play an important role. After
the party&39;s eighteen, with the deepening of reform, private enterprises will usher in
more development opportunities. However, along with the development, private
enterprises have encountered many challenges, facing some of the growing pains.
First, the history and development of private enterprises in our country are relatively
short, management knowledge and experience are insufficient, the financial strength
is relatively weak, the management is small, and it is easy to die in the process of
development. Two is China&39;s private enterprises in the vast majority of family
business, with the development of enterprises, family management malpractice also
gradually exposed, equity is too concentrated, a single big; ownership and
management rights are not divided, the internal control is not reasonable; the
exclusion of non family talent; incentive constraint mechanism, etc., and restrict the
further development of the company. Three is with the expansion of the scale of
enterprises, the establishment of enterprises in the early days of the establishment of
the management model is becoming more and more unsuitable for the development of
enterprises, the development of enterprises into a bottleneck. Blacksmith needs its
own hardware, for private enterprises, establish effective norms of modern corporate
governance structure, to enhance their own strength, for effective internal
management is particularly important.
In this paper, A Construction Co., Ltd. corporate governance issues as the
research object, to explore how to build a healthy, in accordance with the current
situation of corporate governance model of corporate governance. A Construction Co.,
Ltd. is a family enterprise, although the company is currently operating well, but its
family governance model for the further development of the enterprise has broughtIII
shackles. For example, property rights structure is clear, but ownership is relatively
concentrated; ownership and management are not completely separated, the family
and enterprise confused, the parents centralized management, lack of effective
supervision and checks and balances mechanism, incentive and restraint mechanism
is not perfect, the lack of scientific management system, lack of scientific
management system, not a good corporate culture. In this paper, we analyze the
problems of A Construction Co., Ltd., the company&39;s corporate governance model,
from the Anglo American, German, South East Asian countries, and some corporate
governance model, and the improvement of corporate governance model, from the
ownership structure, organizational structure, incentive mechanism in three aspects,
and improve the implementation of the rules and regulations, the establishment of an
open corporate culture, improve the scientific decision-making mechanism, the
introduction of external governance four aspects of security measures.
This paper systematically analyzes the governance structure model of A
Construction Co., Ltd, represents a study of the family governance model of private
enterprises, and puts forward the optimization control scheme for A Construction Co.,
ltd.. Hope that the private enterprises in our country to further improve the corporate
governance structure, and promote its scientific development to provide a reference.
