海城进口跨境电商公司私募股权融资策略研究
近几年,随着网络技术不断提升,物流水平进步飞快,跨境电商行业顺势
迅猛发展起来。跨境电商行业相比传统贸易形式,拥有流通环节少,成本可控
等优势。跨境电商作为新型贸易的代表正逐渐加快发展的脚步,并有望成为中
国贸易甚至整体经济的全新增长引擎。在这个蓬勃发展的阶段,传统零售商、
传统贸易商、传统电商甚至上市公司都纷纷涉足跨境电商领域,以图能在市场
中占据一席之地,并分享行业风口带来的红利。然而,这造成产品同质化现象
愈发严重、市场竞争也越来越激烈。于是,中小跨境电商想要在竞争激烈的市
场环境中站稳脚跟,融资问题便成了其进一步发展的关键。由于只依靠债务融
资越来越难以满足发展需求,中小跨境电商拓展其他融资模式已成首要问题

私募股权投资起源于美国。2014年至今,私募股权基金在中国正处在规范
发展时期,推动了中国多层次资本市场的进一步发展。私募股权投资市场非常
活跃,并且投资范围越来越广,涉及电信、互联网、房地产、能源、金融服务
等多个行业。投资呈现多元化趋势的私募股权基金,逐渐成为优质中小企业融
资的主力军。与其他融资模式相比,私募股权融资的资格限制更低,资金到位
速度更快,增值服务更全面,所以倍受中小企业青睐。一般而言,私募股权资
本被注入融资方时,其丰富的管理经验也被注入,既满足企业融资需求,又帮
助企业提升经营管理能力,拓展采购或市场渠道,丰富资本市场运作经验。私
募股权融资过程包含多个环节,如机构选择、方案设计、谈判议价、签约和退
出等。每个环节均存在一定的风险,都有可能导致融资失败。因此,对私募股
权融资方案进行合理设计,融资过程中存在的风险进行分析,并提出相应保障
措施就具有了十分重要的意义

2014年被业内人士称为“中国进口跨境电商元年”,海城进口跨境电商正是
在这一年正式成立,它主要从事互联网进口零售。过去三年间,海城进口跨境II
电商在宏观经济环境、国家相关政策、交易方式升级、消费需求旺盛等因素的
影响下逐步发展起来,成为综合性跨境电商企业。然而,海城跨境电商仍处在
成长期,要想不断发展壮大,就必须加大对前端平台优化、中端仓储建设、后
端货源采购等业务的投资,继而产生较大的资金需求。目前公司业务发展遇到
资金瓶颈问题,且很难再获得债务融资,因而将目光转移到私募股权融资。通
过私募股权融资不仅能解决资金短缺问题,而且有助于提高经营管理水平、改
善公司治理结构、建立现代企业制度等

本文根据海城进口跨境电商的实际情况,分析公司选择私募股权融资的必
要性;制定切实可行的融资方案,对如何选择投资机构、评估企业价值、磋商
融资条款、设计对赌协议等进行了详细说明;最后探讨融资过程中所面临的各
种问题,并提出相应保障措施确保方案顺利实施,以此指导中小跨境电商公司
私募股权融资的实践

In recent years, with the continuous improvement of network technology,

become a primary issue.
Private equity investment originated in the United States. Since 2014, private
equity funds in China are in the normative development period, to promote China&39;s
multi-level capital market for further development. Private equity market is very
active, and the scope of investment is more and more widely involved in
telecommunications, Internet, real estate, energy, financial services and other
industries. Investment in a diversified trend of private equity funds has gradually
become the main force of high-quality SME financing. Compared with other
financing models, private equity financing less qualified, the funds in place faster,IV

enterprises. In general, private equity capital is injected into the financing side, its
rich management experience has also been injected, both to meet the financing needs

The private equity financing process involves multiple links, such as institutional
selection, program design, negotiation bargaining, signing and exit. Each link there is

system.
This paper analyzes the necessity of selecting private equity financing according
to the actual situation of Hai Cheng import cross-border electricity business, and
makes a feasible financing plan. How to choose investment institutions, evaluate
enterprise value, consult the financing terms and design the gambling agreement And
then put forward the corresponding measures to ensure the smooth implementation ofV
