摘 要
虽然市场经济法律体系在我国已经基本建立起来，但是在市场经济制度不断
完善的过程中相应的法律法规却在不断的调整和完善，因此企业经营管理的外部
法律环境是复杂多变的。近年来，很多企业由于自身法律风险防范意识薄弱，缺
乏有效的企业法律风险防范制度，出现法律风险事件后企业蒙受了巨大的经济损
失，严重影响了企业的市场竞争力。而中小企业与大型企业相比，受企业自身规
模限制抗风险能力相对较弱，且企业的法律风险管理制度更加不健全，其法律风
险管理问题更加突出。高发案率，高损失率一直威胁着中小企业的健康稳定持续
发展。因此，提高中小企业对法律风险问题的认知意识，发现中小企业经营发展
中的具体法律风险问题，并提出一些切实可行的法律风险防范对策和建议，对提
升中小企业长期发展的竞争力具有重要的理论意义和现实价值

本学位论文以沈阳市中小企业法律风险为主要研究对象，运用企业管理学理
论和法律风险防范理论系统分析沈阳市中小企业经营发展过程中遇到的法律风险
及其主要成因，并提出了相应的解决对策和建议。希望能够为沈阳市中小企业构
建完善的法律风险管理体系，提高其法律风险防范能力提供有益参考和借鉴，同
时，也为相关主管部门制定政策法规、修改现行法律条款提供参考意见

Although market economy legal system has been basically established in o
ur country, laws and regulations related to it are continuing to adjust and develo
p according to the market economic system, which is also need improvement. A
s a result, the external legal environment in which the enterprise operation and
management exists is complex and changeable. In recent years, many enterprises
suffered huge economic losses after some legal risk accidents happened, owing t
o their weak awareness of legal risk prevention and the lack of effective enterpri
se legal risk prevention system which seriously affected the market competitivene
ss of the enterprise. Compared with large enterprises, the small and medium-size
d enterprises are much easier to be limited by the scale of enterprise. In additio
n, their anti-risk ability are relatively weak and the legal risk of the enterprise
management system is not sound, which makes the matters worse that more and
more legal risk management issues become prominent. High ratings and high lo
ss rate has been threatening the healthy and stable development of small and me
dium-sized enterprises. Therefore, in order to improve the competitiveness of sma
ll and medium-sized enterprise long-term development, it is of important theoretic
al significance and practical value for small and medium-sized enterprise to stre
ngthen legal risk cognitive awareness, find out specific legal risks in the develop
ment of small and medium-sized enterprise, and come up with some feasible leg
al risk prevention countermeasures and suggestions.
The paper focused attention on studying the legal risk of small and medium
-sized enterprises in Shenyang, by adopting enterprise management theory and th
e legal risk prevention system analysis. This paper not only analyze the risks tha
t the small and medium-sized enterprises countered in the process of operation a
nd development and its main cause, but puts forward to the corresponding count
ermeasures and suggestions. With the hope of being helpful to small and mediu
m-sized enterprises in Shenyang , building perfect legal risk management system,
and improving the legal risk prevention ability, it provided useful reference for
the future development , and at the same time, it can be helpful for relevant de
partments to make formulate policies and regulations and modify the current lega
l provisions.
